Terms of Use

    1. This Terms of Use ("TOU") sets forth the terms and conditions under which Licensee as defined below may use the "e-HealthCare for Demonstration" ("eHC-Demo") provided and conducted by VNPT Hanoi, 75 Dinh Tien Hoang Street, Hoan Kiem District, Hanoi, S.R Vietnam (hereinafter called as "Licensor"). A person who carefully reads, understands and agrees to this TOU and Licensor's Privacy Policy, requests a license to use of the eHC-Demo and be accepted by Licensor (hereinafter called as "Licensee") shall have the right to use the eHC-Demo during the following License Period:

    From the date on which Licensee is provided with at least two (2) products including "Relay-Key" or "Receiver" out of five(5) "Designated Products" as defined in paragraph 7, up to 31 December, 2012.

    2. The Licensee's right to use the eHC-Demo shall expire without any compensation, in case that:
    (i) the License Period has expired;
    (ii) paragraph 8 shall be applied to;
    (iii) it has been known that Licensee fails to follow this TOU or is a person inadequate for the use of the eHC-Demo or any of Designated Products; or
    (iv) it has been decided at Licensor's own decision that the conduct of the eHC-Demo shall be discontinued or terminated.

    3. The eHC-Demo is a demonstration version of the "eHealthCare System", complete version of which is still in planning and expected to be conducted in future by Licensor to provide support for health management. The eHC-Demo shall NOT provide expressly or impliedly any commitment or warranty of definite improvement of Licensee's health conditions. The eHC-Demo only intends to provide general information on health management through the website, and does NOT intend to provide medical examination, diagnosis or any other medical practice.

    4. The "ID" and "Password" issued to Licensee for enabling it to use the eHC-Demo shall be in the custody of Licensee under its sole responsibility. Licensor may consider any act done by using of an ID or Password as the act done by Licensee identified by the ID or Password.

    5. Any notice and other communication from Licensor to Licensee may be given by e-mail, which will be made by Licensor or its consignee and addressed to Licensee's e-mail address registered in the eHC-Demo. Such notice and communication shall become effective when the e-mail has been recorded in a mailbox of mail server computer used by Licensee.

    6. Licensor will use its reasonable effort to appropriately conduct and control the eHC-Demo and information contained therein, provided, however, that Licensor does NOT make expressly or impliedly any commitment or warranty of continuity, accuracy, completeness, conformity with purposes or other usefulness of those eHC-Demo and information. Licensor shall NOT assume any responsibility, even if Licensee suffers any loss, damage or other disadvantage due to the use or unavailability of eHC-Demo, unless such disadvantage is due to false information provided by Licensor who knows such falsehood.

    7. For supporting the use of the eHC-Demo, Licensor or its consignee will provide Licensee with all or part of five(5) products, namely "Relay-Key", "Receiver", "Body Composition Monitor", "Pedometer" and "Blood Pressure Monitor", those are collectively called herein as the "Designated Products". Ownership of these Designated Products shall be reserved to Licensor. When the Licensee's right to use the eHC-Demo expires, Licensee shall, upon request of Licensor, return the Designated Products in accordance with Licensor's designation, provided, however, that reasonable costs and expenses necessary for such return, including travel expenses for bringing the Designated Products to a place designated by Licensor, shall be born by Licensor.

    8. Precautions and/or important notes for the Designated Products, including limitations for use thereof, to be observed by Licensee are set forth in the instruction manual provided together with each product, as well as in this TOU. If and when Licensor is informed of any defect, damage, loss or malfunction of any of the Designated Products provided for Licensee, Licensor shall determine, at its own decision, whether to replace (or repair) or not. In case that Licensor determines not to replace (nor repair) such defective product and Licensee cannot continue to use it or the eHC-Demo, the Licensee's right to use the eHC-Demo shall expire without any compensation, provided, however, that Licensee will not assume any responsibilities for any defect, damage, loss or malfunction of any of the Designated Products, unless due to Licensee's willful act.

    9. Notwithstanding as set forth in paragraph 7, if and when the Licensee's right to use the eHC-Demo expires according to paragraph 2(i) or 2(iv), the Pedometer which is one of the Designated Products and is in hand of Licensee will be donated to Licensee, provided, however, that Licensor shall NOT assume, in any case, any responsibilities for the Pedometer including, but not limited to, repair or replacement thereof, regardless of any of description in this TOU or any other documents provided together therewith.

    10. Except for the Designated Products to be provided in accordance with paragraph 7, any and all devices, environment and expenses required for using the eHC-Demo, e.g. a computer connectable to the Internet, are to be prepared and borne by Licensee. Licensor shall NOT assume, in any case, any responsibilities for any defect, damage, loss or malfunction of such devices or environment prepared by Licensee, even if it is arisen out of the connection of such devices to the Designated Products and/or the eHC-Demo, or using the Designated Products and/or the eHC-Demo under such environment.

    11. Any and all rights, titles and interests to or on the eHC-Demo and any information consisted thereof or contained therein, including, but not limited to, any copyrights, trademarks, logos, layout, design and structure of web-site, and other intellectual property, shall remain in the exclusive property of Licensor or other providers thereof.

    12. Licensee shall at all times be strictly PROHIBITED to: (i) assign, sell, lend, pledge, encumber, analyze, copy, reproduce, or otherwise infringe the ownership of the Designated Products; (ii) copy, reproduce, change, modify, distribute, sub-license to use or otherwise infringe the intellectual property right of the eHC-Demo or any information contained therein; (iii) transmit any software viruses to the eHC-Demo, publicly slander, libel or abuse the eHC-Demo, or otherwise disturb, obstruct or interrupt the fair and good conduct of the eHC-Demo; or (iv) otherwise use or cause any third party to use the eHC-Demo for any unfair, wrong or illegal purpose, or by any unlawful means.

    13. At the eHC-Demo, Licensor collects access logs in order to provide its services. The access logs include, without limitation, the IP addresses, access times and kinds of browsers used. However, they do not include information that directly allows identification of individuals. Collected access logs will be used as statistical information only, and will not be used for tracing the access status of certain specific individuals or for combining with customers' private information.

    14. This TOU shall be governed by and construed in accordance with the laws of Vietnam. Any dispute or controversy arising out of or in relation to this TOU or Licensee's use of the eHC-Demo is to be subject to the exclusive jurisdiction of Hanoi District Court.
